Agreement to these terms
These Terms of Service (“Terms”) form a binding agreement between you and Benjamin R. Consulting Inc., operating as Project Signal (“Project Signal”). By creating an account or using the service you agree to these Terms. If you use Project Signal on behalf of a company, you confirm you have authority to bind that company, and “you” means that company.
The service
Project Signal is a web application that imports construction schedules, generates Gantt charts and sends schedule-driven notifications and reports to project participants by SMS and email. Features may change over time; we will not materially reduce core functionality during a paid term.
Accounts
Keep your account information accurate and your credentials secure. You are responsible for all activity under your account and for the people you invite. Tell us immediately at info@projectsignal.ca if you suspect unauthorized access.
Messaging responsibilities
You are the sender
Notifications are sent on your behalf. You must have a legitimate project relationship with every recipient, obtain and maintain any consent required by law (including CASL), and never use Project Signal for marketing, promotions or unsolicited messages.
We may pause messaging if opt-out or complaint rates suggest misuse, or if a carrier requires it.
Acceptable use
- No unlawful, harassing, misleading or harmful content.
- No attempts to reverse engineer, probe, scrape or overload the service.
- No sharing of accounts or reselling access without our written permission.
- No uploading of malware or content you have no right to use.
Your data
You retain all rights to the schedules, project data and recipient information you provide (“Customer Data”). You grant us a limited licence to host, copy and process Customer Data only to provide and support the service. We may use aggregated, de-identified data that does not identify you or any individual to improve the service.
Third-party integrations
Connections to Procore, Microsoft, Oracle (Primavera) and other services are governed by those providers’ terms. We are not responsible for third-party services, their availability or how they handle your data.
Fees and payment
Subscriptions are priced per project and billed in advance in Canadian dollars, plus applicable taxes. SMS usage above plan limits is billed in arrears. Invoices more than 30 days overdue may lead to suspension. Fees are non-refundable except where required by law or stated in an order form.
Term and termination
Monthly plans renew monthly and annual plans renew annually unless cancelled before renewal. Either party may terminate for a material breach not cured within 30 days. After termination you have 30 days to export your data, after which it will be deleted.

Project Signal delivers the information you provide. We do not verify schedule accuracy, and notifications are not a substitute for formal or contractual notices (including under CCDC or other construction contracts), site safety procedures, or direct communication when timing is critical.
Warranties
The service is provided “as is” and “as available”. To the extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. We do not guarantee uninterrupted or error-free delivery of messages, which depends on carriers and networks.
Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental or consequential damages, including lost profits, delay costs or liquidated damages. Each party’s total liability is limited to the fees you paid in the 12 months before the claim.
Indemnity
You will defend and indemnify Project Signal against third-party claims arising from your Customer Data, your messages, or your breach of these Terms or applicable law.
Intellectual property
We own the Project Signal platform, software, brand and documentation. If you send us feedback, we may use it without obligation to you.
Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there. The courts located in Toronto, Ontario have exclusive jurisdiction.
Changes and contact
